DEFINITIONS
"We", "Our" or "TTS" means True Track Software.
"You" and "Your" means you, the person using our products, services or visiting our Website;
"Services" or "Service" means all products, goods or services we provide and anything else we do for you, including allowing you to access our Website;
"Pyramid" is a software application written and designed by True Track Software.
"Service Availability" is defined as the ability to access and use of the Pyramid application.
TRUE TRACK SOFTWARE TERMS AND CONDITIONS
These terms and conditions govern your use of our website, products or services; by using our website, products or services, you accept these terms and conditions in full. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use our website, products or sevices. By using our website [and by agreeing to these terms and conditions] you warrant and represent that you are at least [18] years of age.]
Our Products and Services are aimed at business customers, who are based in or trade in the UK.
The wording below sets out the terms and conditions on which Jeremy Shave of Swift House, Liverpool Road, Newcastle-Under-Lyme, ST5 9JJ trading as True Track Software provides services and applications to persons and companies. We provide the following Services:

GENERAL TERMS AND CONDITIONS
1. Terms and Conditions
These Terms and Conditions apply to the general trading policy of True Track Software and/or for other related service provisions.
2. Placing your order, acceptance and payment terms
- When you place your order you will receive a sales order detailing the products and/or services to which we have agreed upon that enters you into a legal contract with us. In placing your order, you represent to us that you are providing us with accurate, current and up to date information.
- We and you will only enter into a binding contract when you have signed and returned the sales order and forthwith a binding contract exists from the date of the sales order.
- We require 25% advance payment of the total order amount (before any work can commence) and the outstanding balance to be paid 30 days after the date of the invoice.
- We reserve the right to remove or suspend any services or products that we are providing for you until unpaid invoices a paid in full.
PYRAMID SUBSCRIPTION TERMS AND CONDITIONS
1a. Terms and Conditions
These Terms and Conditions apply solely to the Pyramid Subscription service accessed and/or used by you under this Agreement for Pyramid Service Provision (i.e. the provision of software application(s) hosted on our server and accessed by you from a remote location or installed locally onto your local area network).
2a. Placing your order
- When you place your order for the Pyramid Subscription service you will receive a sales order detailing the modules and services to which we have agreed upon that enters you into a legal contract with us. In placing your order, you represent to us that you are providing us with accurate, current and up to date information.
- We and you will only enter into a binding contract when you have signed and returned the sales order and forthwith a binding contract exists from the date of the sales order.
3a. The System
- Pyramid and all other material, information and services made available to you under this Agreement are part of our computer system (the "System"). The System comprises hardware, software, and communications facilities which are continually amended and updated by us and by many third party suppliers (the "System Suppliers").
- You accept that the System is provided to you "as is" and we make neither representation to you nor warrant as to its availability, reliability, suitability or timeliness.
4a. Pyramid Modules
- You may add to or vary the selection of Pyramid modules which you wish to license from time to time during the continuance of this Agreement.
5a. Software Licences
- In order for you to access and use Pyramid and the System, we hereby grant to you a non-exclusive, non-transferable licence to use our software to enable you to use Pyramid during the Term of this Agreement.
- Pyramid may only be used by you and by the number of users (“Licensed”) paid for by you for the sole purpose of using the Pyramid licensed by you.
- In order for you to use the Pyramid you need to use web browsers that are the current versions approved by us. The current and only web browser approved by us is "Firefox". We are making every effort to extend this to other web browsers platforms and will notify clients when this development is completed and available.
6a. Availability
- We shall use all our reasonable endeavours to ensure that the System will (subject to other terms of this Agreement) be available 24-7, 365 days of the year. This undertaking does not apply to third party products. You understand and agree that it is reasonable that the System should not be available occasionally, for example, when updates are being installed.
7a. Pricing, Account Billing, Invoicing and Refunds
- We operate a billing cycles that runs on a month by month basis, paid in advance. Your billing cycle starts on at the end of the 30 Day trial period, after which we require payment for the next month in advance. So if you sign up on the 20th you be required to pay on the following 20th and billed on the 20th of each thereafter which is non-refundable. Late payments may result in account suspension and possible cancellation.
- There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
- Payment can be made by credit or debit card on the administration page within Pyramid or by standing order set-up from your bank account.
- True Track Software reserve the right to change the pricing plans without notice and would advise new users to contact our sales team for a upto date quote. Exsiting clients will be notified and discretion will be used..
8a. Cancellation, Termination and Right to Monitor
- Upon cancellation of an account, payment is to be made up to the end of the billing period you are in, no refunds will be given.
- Cancelled accounts will have their data archived in a secure backup facility for 6 months. This data can be deleted or supplied within this timeframe upon customer request.
- True Track Software has no obligation to monitor and access clients account activity, but may do so if for any reason we believe there is just cause. (Reasons could include questionable material or for general customer support)
- True Track Software reserves the right to terminate accounts (Trial and Paid) if just cause has been approved. Clients will be notified and discretion will be used.
9a. Warranty
- Your use of the service is at your sole risk. The service is provided on an “as is” and “as available” basis.
True Track Software does not warrant that:
- The service will meet your specific requirements
- The service will be uninterrupted, timely, secure, or error-free
- The results that may be obtained from the user of the service will be accurate or reliable
- You expressly understand and agree that True Track Software shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses (even if True Track Software has been advised of the possibility of such damages), resulting from
- The use or inability to use the service
- The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or any messages received or transactions entered through or from the service
- Unauthorised access to or alteration of your transmissions of data
- Statements or conduct of any third party on or involved in providing the service
- Any other matter relating to the service.
WEB SITE AND WEB HOSTING TERMS AND CONDITIONS
1b. Terms and Conditions
These Terms and Conditions apply to the provision of web sites and web hosting and/or for other related service provisions.
2b. Placing your order, acceptance and payment terms
- When you place your order you will receive a sales order detailing the products and/or services to which we have agreed upon that enters you into a legal contract with us. In placing your order, you represent to us that you are providing us with accurate, current and up to date information.
- We and you will only enter into a binding contract when you have signed and returned the sales order and forthwith a binding contract exists from the date of the sales order.
- • We require 25% advance payment of the total order amount (before any work can commence) and the outstanding balance to be paid on completion of the project before the site can go live, unless otherwise stated on the Sales Order.
- We reserve the right to remove or suspend any services or products that we are providing for you until unpaid invoices a paid in full.
3b. The Design Process
- All designs must be approved and finalised by the client before the site can go live.
- Any number of revisions may make throughout the process providing the client provides a coherent approach to the changes.
- Once the site has had the final approval by the client and the site taken live, any revisions to the site or graphic design work will be charged at the standard True Track Software hourly rates. Any such costs will be advised of in advance
- Any supply of data, images or copy (text content) must be legal for use in the relevant project and the end-client must warrant that any such imagery, copy or other data is correct. True Track Software shall not be responsible for any errors or legal issues arising from the supply of imagery, copy or other data.
- True Track Software reserve the right to request any supply of data, images or copy to request amendments to the format of any such data, images or copy at any time. If the format of any such supplied data, images or copy is altered by the client, additional costs may be incurred to cover extra work required. .
- The client will not hold True Track Software responsible for any infringement of copyright relating to text contained within designs. It is the responsibility of the client to ensure that no copyright infringement will occur in the use of their company name. Refunds will not be made in cases of such copyright infringement.
4b. Data Entry
- True Track Software can offer a data entry service in addition to provisions of the website. By default we are not reasonable for data entry, manual or imported into the site and do not include any data entry costs.
- Where you have paid for this additional service we require a comprehensive sample of the data to be input prior to the start of the project; this is in order that we may ensure that database structuring is appropriate to the format and type of data to be input. If the format of any such supplied data is altered by the client, additional costs may be charged by True Track Software to the client to cover extra work required.
5b. Software Licensing
- True Track Software retains full ownership and copyright of all software/code produced for a client. A license of usage for software/code is issued to the client. This license of use has no time-limit unless specifically stated.
- True Track Software forbids any alterations, re-distribution and/or re-use of any or all parts of any such software/code unless otherwise approved by True Track Software.
6b. Web Site Hosting/Recurring Services
- Recurring services/products e.g. Hosting accounts, Domain name registrations, SSL Certificates, Email accounts etc will be automatically renewed until True Track Software is notified by the client of a cancellation.
- Unless otherwise stated, we require at least one week (7 days) notice of cancellation prior to the renewal date of the service/product.
- If cancellation is requested after this time, True Track Software may charge up to the full renewal cost, depending on the circumstances. True Track Software will make every effort to inform clients of upcoming renewal dates of recurring services/products but does not guarantee that this will be done.
7b. TTS Standard SEO (Search Engine Optimization) Services
- Submit the site to Google, MSN, Bing.
- Ensure the site is built with SEO in mind.
- Create a Google Analytic accounts.
- Ensure Meta Titles and Descriptions are understood by our clients and are in place.
- Give our clients advice for keywords.
- Any future development of our sites will have SEO within the specification of the development.
True Track Software provide a selection of standard SEO services to all websites provisions. These services are intended to give our website the basic foundations for further more advanced technologies that specialise in SEO to be applied to the website by a third party.
True Track Software do not guarantee Google, or related search engine websites, page rankings or the results from our efforts in relation to these services and advice all our clients to seek a third party company that specialise in SEO for further development in this area.
